By accessing or using any products, services, software, tools, consultations, or support provided by 360
Business Solutions LLC, you agree to be bound by these Terms of Service. If you do not agree, you may not
use or access any part of the service.
These Terms, along with any signed agreements, order forms, statements of work, or other legally binding
documents, constitute the entire agreement between the parties. These Terms supersede any prior
representations, understandings, or agreements, whether oral or written.
360 provides a range of business technology services including, but not limited to: VoIP phone system
provisioning and support, IT systems design, deployment, and maintenance, network security and monitoring,
hardware installation and configuration, software procurement and integration, website development,
marketing automation, and consulting, digital marketing, SEO, and paid advertising services.
360 reserves the right to change, suspend, or discontinue any portion of its services at any time for any
reason with or without notice.
Clients agree to: provide full and accurate access credentials, assets, and business information in a timelymanner; maintain appropriate backups unless explicitly included in a signed SLA; refrain from engaging in
any illegal or unethical activity using 360's systems or services; promptly communicate any operational or
security concerns.
Fees are due as specified in a signed agreement or invoice. Late payments incur a finance charge of 1.5%
monthly (18% annualized), or the maximum allowed by law. Services may be suspended or terminated if
invoices remain unpaid for more than 15 days. Setup fees, retainers, and paid consultations are
non-refundable. Clients agree to reimburse 360 for any third-party costs incurred on their behalf.
Each party agrees to maintain the confidentiality of all proprietary or non-public information received in the
course of the engagement. This obligation survives termination and extends for five (5) years beyond the end
of services.
All intellectual property developed by 360including source code, processes, templates, reports, documents,
and creative assets remain the exclusive property of 360 unless explicitly transferred in writing. Client-owned
data remains the property of the client.
360 takes reasonable commercial measures to secure client data, but cannot and does not guarantee
absolute protection from breaches, cyberattacks, or unauthorized access. Clients are responsible for
maintaining their own endpoint security unless under a managed services agreement.
Use of third-party vendors (e.g., VoIP carriers, hosting providers, CRMs) is subject to their terms. 360 is not liable for service interruptions, pricing changes, breaches, or errors from those providers.
TO THE FULLEST EXTENT PERMITTED BY LAW: ALL SERVICES ARE PROVIDED AS IS AND AS
AVAILABLE. 360 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A
PARTICULAR PURPOSE. 360 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS,
REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. IN ALL CASES, 360S MAXIMUM
LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT IN THE PRECEDING 90 DAYS
FOR THE SERVICES IN QUESTION.
Client agrees to indemnify, defend, and hold harmless 360, its owners, employees, affiliates, and partners
from any claims, damages, liabilities, and expenses arising out of: Clients misuse of the services; Clients
violation of applicable laws or third-party rights; Any content, data, or actions initiated by Client using 360s
systems.
360 may suspend or terminate services immediately, without refund, for: Breach of these Terms; Illegal or
fraudulent use; Non-payment; Abusive or unsafe behavior toward 360 staff.
Upon termination, 360 is not obligated to provide data export or transfer unless agreed in writing.
This Agreement shall be governed by the laws of the State of New York. Any disputes shall be resolved in the
state or federal courts located in Erie County, NY. Both parties waive any objection to jurisdiction or venue.
